We advise international and U.S. individuals and corporate clients in the structuring and maintenance of various types of business entities, financing and capital raising transactions, corporate planning, negotiation and creation of commercial, investments, joint-venture, distribution, and representation agreements, partnership, operating and shareholder agreements, and the purchases and sales of business and investment assets. We also represent businesses in the areas of mergers and acquisitions and stock option and employee incentive plans.

We also provide our clients with counsel in the in the area of corporate governance, which includes compliance with Florida’s Business Corporation Act (Chapter 607, Florida Statutes), Florida’s Revised Limited Liability Company Act (Chapter 605, Florida Statutes), Partnership Laws, and other State and Federal Laws. The firm also acts as “outside general counsel” to businesses that do not have in-house legal counsel. We also counsel clients that are involved with business disputes or administrative compliance issues. We focus on the business objectives of our clients, and often co-counsel with attorneys from other law firms to assist our clients with multi disciplininary matters.
